Will Alimar be Invermar's future owner?

The Superintendency of Securities and Insurance (SVS) received a copy of the prospectus and correction of the Tender Offer (IPO) sent by the company Alimentos Marinos SA (Alimar) to acquire Invertec Pesquera Mar de Chiloé (Invermar).
The note was sent by Alimar on 5 March, just days before the maturity date of the offer --19 March 2015, without detriment to the extension that the party offering may perform.
This document was issued by the party offering to provide general background about the offer. The goal is for each of Invermar’s shareholders to assess and independently decide the advisability of participating in it.
As it was noted by the company in the offer summary, the offer includes acquiring Invermar’s 288,805,366 shares, representing 100 per cent equity interest in this, at a price amounting to USD 0.07271333 per share.
That acquisition would materialize irrevocably and in accordance with the provisions of Title XXV of Act 18,045.
"This offer is extended for a period of 30 calendar days commencing on 18 February 2015 and ending on 19 March, 2015, without detriment to the extension that the party offering may perform," explained Alimar in the prospectus.
In January, Invermar informed its shareholders that so far it had failed to cancel two installments of the capital owed to creditor banks as they do not have the necessary funds.
The company provided this information to the Superintendency to respond to a request for information on the topics covered in the shareholders meeting on 15 January.
"If the banks initiated legal action for recovery, the company does not have the funds needed to pay the full capital installments that have not been renewed," stressed Invermar in the statement then sent to the SVS.
